That's really the heart of it. Everything below just makes it official.
What Stencil is.
Stencil lets you build and launch subscription software from a prompt. We provide the platform, the tools, the hosting, and human-led guidance. You provide the ideas, the content, and the business. The apps you build and launch on Stencil are yours, and the relationship between you and your customers is yours.
These Terms are an agreement between you and Stencil Labs, Inc. They govern hellostencil.com, our platform, and related services. By creating an account or using the Services, you agree to them and to our Privacy Policy.
Eligibility and your account.
You must be at least 18 and able to form a binding contract. Your account is your responsibility: keep your credentials secure, keep your information accurate and up to date, and own the activity that happens under it. Suspect unauthorized access? Tell us immediately at legal@hellostencil.com.
Your intellectual property is yours.
Everything you create on Stencil belongs to you. Your prompts, your content, the apps you build, and the businesses you launch are your intellectual property, entirely and without exception. Nothing in these Terms transfers ownership of your work to us.
You grant us only the limited, non-exclusive license we need to operate the Services on your behalf — processing your prompts to generate your app, hosting and serving it to your customers, creating backups. That license ends when you delete the content or close your account, except for limited copies that persist briefly in routine backups.
And as our Privacy Policy says: we never train on your prompts, content, apps, or information — not our models, not anyone else's.
Our intellectual property is ours.
The Stencil platform — our software, infrastructure, design systems, documentation, and branding — belongs to Stencil Labs, Inc. and our licensors. These Terms grant you the right to use the Services while your account is in good standing, and nothing more. No copying, reverse engineering, reselling, or building a competing service from our platform.
The boundary, plainly: the app you build is yours. The machinery that builds and runs it is ours.
Apps you launch.
When you launch an app, you are its operator and the merchant of record for your customers. Its content, legality, pricing, customer support, and compliance — consumer protection, privacy, tax — are yours to own. Your app needs its own privacy policy and terms for your customers.
Where your app collects personal data from your customers, we process it on your behalf under our Data Processing Agreement, as described in our Privacy Policy.
Don't build apps that are illegal, deceptive, or harmful — including apps that infringe IP, distribute malware, facilitate fraud, exploit or endanger minors, promote violence or hatred, or sell regulated goods without authorization. We may suspend or remove apps that cross these lines.
Acceptable use.
Don't misuse the Services: no breaching or probing our security, interfering with the platform or other users' apps, scraping, circumventing usage limits, misrepresenting your identity, or generating content that's unlawful or violates others' rights.
AI-generated output.
Stencil uses large language models to generate software from your prompts. AI output can contain errors, and no software is guaranteed bug-free or fit for every purpose. Review and test your app before launching it to customers. We provide tools and human guidance to help — but the decision to launch is yours.
Subscriptions and payment.
Some Services require a paid subscription. Prices, billing periods, and included features are described at the point of purchase. Subscriptions renew automatically until cancelled; cancel anytime and it takes effect at the end of the current billing period. Except where the law requires otherwise, payments are non-refundable.
We may change prices with at least 30 days' notice, taking effect at your next renewal. Payments run through third-party providers, subject to their terms.
Termination.
Close your account whenever you like. We may suspend or terminate access if you materially breach these Terms, if your use creates risk or legal exposure, or if we discontinue the Services — with reasonable notice and a way to export your work.
On termination, your license to use the platform ends. Your ownership of your IP is unaffected, always. Our handling of your data after closure is in the Privacy Policy.
Disclaimers.
The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied — merchantability, fitness for a particular purpose, non-infringement. We don't warrant that the Services will be uninterrupted, error-free, or secure, or that your app will achieve any particular commercial result.
Limitation of liability.
To the fullest extent permitted by law, Stencil Labs, Inc. is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability for all claims is limited to the greater of $100 or what you paid us in the twelve months before the claim arose. Some jurisdictions don't allow certain limitations, so parts of this may not apply to you.
Indemnification.
You'll indemnify and hold harmless Stencil Labs, Inc. and its officers, employees, and agents from claims, damages, and expenses — including reasonable legal fees — arising from your app, your content, your relationship with your customers, or your breach of these Terms.
Governing law and disputes.
California law governs, without regard to conflict-of-laws rules. Disputes go to the state or federal courts in San Francisco, California, and you consent to their jurisdiction.
Changes to these Terms.
We may update these Terms from time to time. Material changes get at least 30 days' notice by email or through the Services. Continuing to use the Services after changes take effect means you accept them; if you don't agree, you can close your account before they do.
General.
These Terms, with our Privacy Policy and referenced agreements, are the entire agreement between us. If a provision is unenforceable, the rest stand. Not enforcing a provision isn't waiving it. You may not assign these Terms without our consent; we may assign them in a merger, acquisition, or sale of assets.
